Terms Of Service

1. Agreement to These Terms

These Terms of Service (the "Terms") form a binding legal agreement between you ("you," "User," or "Customer") and InQI, Inc. ("InQI," "we," "us," or "our"). The Terms govern your access to and use of the InQI platform, including the websites at www.inqi.ai and www.inqi.app, our mobile applications, our AI-assisted tools and agents, our exports and reports, our APIs, and all related products, features, datasets, content, and services made available by InQI (collectively, the "Services").

 

By creating an account, clicking "I Agree," entering payment information, activating a project, starting a subscription, or otherwise accessing or using the Services, you confirm that:

 

  • You have read, understood, and agree to be bound by these Terms and the InQI Privacy Policy at www.inqi.ai/privacy;

  • You are at least 18 years of age and legally able to enter into a binding contract;

  • If you are using the Services on behalf of a company, firm, partnership, or other entity, you have authority to bind that entity, and "you" refers to both you individually and that entity; and

  • You provide your express affirmative consent to the billing, automatic renewal, activation, and final-sale terms described below.

 

If you do not agree to these Terms, do not use the Services.

2. The Services

InQI is a software platform that delivers AI-assisted tools, aerial and mapping data, parcel and property information, design and site-planning tools, code and compliance references, cost insights, mobile capture, knowledge and document management, exports and reports, and related project intelligence for design, planning, permitting, and construction workflows.

 

The Services are made available through:

 

  • Subscription Plans billed on a recurring basis; and

  • Project Activations — paid actions tied to a specific property address, parcel, dataset, or scope of work.

 

The available Plans, the features included in each Plan, and the prices and fees applicable to Subscription Plans and Project Activations are set forth on the InQI Pricing Page at www.inqi.ai/pricing-plans (the "Pricing Page") and at the point of purchase within the platform. The Pricing Page, together with these Terms, governs the commercial terms of your relationship with InQI. InQI may add, retire, rename, re-tier, or re-price Plans, features, datasets, AI capabilities, and Project Activation fees at any time. The version of the Pricing Page in effect at the time of your purchase, renewal, or Activation is the controlling commercial document for that transaction.

3. Eligibility, Accounts & Authorized Users

3.1 Eligibility

The Services are intended for use by professional and consumer users in the architecture, engineering, construction, design, real estate, and adjacent industries, and by property owners and other interested parties. You must be at least 18 years old to register.

3.2 Registration

You must provide accurate, current, and complete information when creating your account, and keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account, whether or not authorized by you.

3.3 Authorized Users

If your account or Plan permits multiple users, seats, tenants, or sub-accounts, you are responsible for the conduct of every user accessing the Services through your account, and for ensuring each such user complies with these Terms.

3.4 Notification of Unauthorized Use

You must notify InQI promptly at support@inqi.ai of any suspected unauthorized access or security breach affecting your account. InQI is not liable for any loss arising from unauthorized use of your account before you notify us.

 

 

4. Pricing, Plans, and the Pricing Page

4.1 Pricing Page Is Controlling

The Pricing Page at www.inqi.ai/pricing-plans describes the Plans we currently offer, the features and entitlements included in each Plan, the price and billing frequency, the Project Activation fee structure, and any quotas, caps, or overage charges. Plans may be offered as monthly, annual, prepaid, packaged, per-seat, per-project, per-address, or any combination of the foregoing. The Pricing Page may be updated at any time.

4.2 What Your Plan Includes

At checkout, the Pricing Page and the in-platform purchase screen will identify, in plain language, the Plan you are buying, the recurring fee (if any), the Activation fee (if any), the duration during which your project remains accessible for editing, uploading, and records retention, the cancellation method, and any other commercial term applicable to that Plan.

4.3 Authorization to Charge

By providing a payment method, you authorize InQI and its payment processors to charge that method for all fees you incur, including but not limited to Subscription fees, Project Activation fees, taxes, applicable add-ons or overages, and any reactivation, reinstatement, or premium feature fees, on the dates and frequencies set forth at the time of purchase or as described on the Pricing Page.

4.4 Taxes

All fees are exclusive of sales, use, VAT, GST, digital services tax, withholding, or any other applicable taxes, levies, or duties, all of which are your responsibility. If InQI is legally required to collect such taxes, they will be added to your invoice.

4.5 Failed Payments

If a charge is declined, reversed, refunded, or otherwise not collected, InQI may suspend, restrict, or terminate your access to the Services until payment is resolved. You remain responsible for all unpaid amounts plus any reasonable collection costs and applicable interest.

4.6 Currency

All amounts are in U.S. Dollars unless stated otherwise on the Pricing Page or at checkout.

 

 

5. Project Activation — Express Consent, Hard Costs & Final Sale

This section is critical. Please read it carefully before activating a project.

5.1 What Activation Means

A "Project Activation" (or "Activation") is the moment when you click the activation button (or any equivalent confirmation control) on a project tied to a specific property address, parcel, dataset, or scope of work, and InQI accepts your payment for that project. The act of clicking to activate is your express affirmative consent to be charged the Activation fee in effect at that moment as set forth on the Pricing Page or at checkout, and to all of the terms in this Section 5.

5.2 Immediate Performance & Non-Recoverable Hard Costs

You acknowledge and agree that:

 

  • Performance begins immediately upon Activation. The moment you click to activate, InQI's systems begin executing the project on your behalf, including any combination of the following: licensing and acquiring third-party aerial imagery for your address; pulling parcel, zoning, topography, and other property data from licensed third-party providers; running AI inference and language-model compute; provisioning storage, compute, and bandwidth on your project; and reserving access to compliance, code, and cost reference data.

  • These actions create non-recoverable hard costs that InQI incurs in real time at the moment of Activation. These costs cannot be unwound, returned, or recovered after Activation, regardless of whether you later choose to use, view, download, or rely on the resulting outputs.

  • Project Activation constitutes the digital delivery of digital content and AI-driven services that begins immediately at your express request, and you expressly waive any statutory cooling-off, withdrawal, or right-of-rescission period to the maximum extent permitted by applicable law in exchange for this immediate performance.

5.3 All Project Activations Are Final — No Refunds

ALL PROJECT ACTIVATIONS ARE FINAL SALE. Once you have activated a project, the Activation fee — and any associated charges incurred at that moment — cannot be canceled, reversed, refunded, exchanged, credited, transferred, or paused, in whole or in part, under any circumstances, including but not limited to:

 

  • Change of mind, change of project scope, change of property ownership, or change of decision-maker;

  • Failure to use, log into, view, edit, or download the project after Activation;

  • Dissatisfaction with the appearance, interface, layout, or experience of the platform or editor;

  • Dissatisfaction with AI-generated outputs, site plans, imagery, recommendations, code references, cost estimates, or compliance results;

  • Differences between InQI outputs and outputs from other software, tools, surveyors, engineers, architects, contractors, jurisdictional officials, or other professionals;

  • Errors, omissions, gaps, lag, or jurisdictional inaccuracies in any third-party data source (including but not limited to parcel, aerial, GIS, zoning, code, planting, topography, utility, flood, environmental, demographic, or cost data);

  • Site, jurisdiction, permit, entitlement, AHJ, utility, environmental, easement, or title issues that arise after Activation;

  • Account suspension or termination resulting from your breach of these Terms;

  • Any other reason not expressly required to be refunded by applicable, non-waivable law.

 

By activating a project, you acknowledge and agree that no refunds will be issued and that you have received the full benefit of the bargain at the moment of Activation.

5.4 Chargebacks Are a Material Breach

Initiating a chargeback, payment dispute, or reversal request through your card issuer, bank, or payment provider for a valid Project Activation or recurring charge that you authorized is a material breach of these Terms. InQI reserves the right to:

 

  • Contest the dispute with documentation of these Terms, your express affirmative consent, and the full record of your account activity (including timestamps, IP, and Activation events);

  • Suspend or terminate your account and all associated projects, exports, and access;

  • Recover the disputed amount, any chargeback fees, lost revenue, and reasonable attorneys' fees and costs from you; and

  • Refer the matter to a collection agency or to law enforcement if InQI determines the dispute was filed in bad faith.

6. Subscriptions, Recurring Billing & Automatic Renewal

6.1 Recurring Charges Keep Your Project Active

Subscription fees keep your projects active in the platform. Your recurring charge entitles you to continued access to your project, the ability to edit, upload, store, and version content, retention of your records under our retention schedule, and ongoing access to features as described in your Plan on the Pricing Page. Cancellation of your Subscription will end this access at the end of the then-current billing period, subject to Section 8.

6.2 Automatic Renewal — Express Affirmative Consent

You expressly agree that your Subscription will automatically renew at the end of each billing cycle (whether monthly, annual, or any other term selected at checkout) for a successive period of equal length, at the then-current rate posted on the Pricing Page, until you cancel as described in Section 8. Renewal charges will be applied to the payment method on file without further action from you.

6.3 Renewal Reminders & Price-Change Notices

Where required by applicable law (including the California Automatic Renewal Law, the FTC Negative Option Rule, and similar consumer-protection statutes), InQI will provide you with:

 

  • An annual renewal reminder disclosing the renewing Service, the frequency and amount of the renewal charge, and the cancellation method;

  • For initial terms of one year or longer, a renewal notice sent between 15 and 45 days before the renewal date; and

  • A price-change notice sent between 7 and 30 days before any increase in your recurring fee takes effect, with a clear method to cancel before the increase.

6.4 Free Trials, Discounts & Promotions

If InQI offers a free trial, introductory discount, beta period, or promotional offer, the conditions, duration, and conversion-to-paid terms will be disclosed at signup or at the time of the offer. Where required by law, you will receive notice between 3 and 21 days before any free trial converts to a paid Subscription. Unless we expressly state otherwise, only one trial or promotion is permitted per customer or household. InQI may modify or terminate any promotional offer at its sole discretion.

 

7. No Refunds on Subscription Fees

Except where a non-waivable refund right is required by applicable law, all Subscription fees are non-refundable once a billing cycle has been initiated or renewed. InQI does not provide refunds, credits, or prorations for:

 

  • Partial Subscription periods or unused portions of a billing cycle;

  • Unused features, seats, projects, exports, storage, or other entitlements;

  • Plan downgrades made during a billing cycle;

  • Account inactivity or non-use;

  • Temporary service interruptions, scheduled maintenance, or third-party outages; or

  • Dissatisfaction with AI-assisted outputs, recommendations, or generated content.

 

Where applicable law mandates a refund, InQI will issue only the minimum refund required by that law.

8. Cancellation

8.1 How to Cancel

You may cancel your Subscription at any time through the same medium you used to subscribe — your account settings on www.inqi.ai or www.inqi.app — or by emailing support@inqi.ai from the email address associated with your account. Cancellation is online, simple, and requires no phone call or additional steps. You will receive an electronic confirmation upon cancellation.

8.2 Effect of Cancellation

When you cancel:

 

  • Your Subscription remains active through the end of the current paid billing period;

  • You retain access to your projects and Subscription features until the renewal date; and

  • No partial refunds, prorated credits, or refunds for unused time will be issued.

8.3 Cancellation Must Occur Before Renewal

Cancellation must be completed before the renewal date to prevent the next billing cycle. If your Subscription renews before you complete cancellation, the renewal charge is final and non-refundable, and your next opportunity to cancel will be before the following renewal date.

8.4 Project Activations Are Independent

Cancellation of your Subscription does not cancel, refund, or affect any Project Activation, which remains final under Section 5. Cancellation may, however, affect your continued access to projects, exports, edits, uploads, and records retention as described in Section 16.

9. License to Use the Services

Subject to your compliance with these Terms and your payment of all applicable fees, InQI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services, exports, and outputs for your own internal business or professional use during the period for which you have paid.

 

You may not, and may not permit any third party to:

 

  • Resell, sublicense, rent, lease, distribute, or otherwise commercialize the Services or any InQI-generated output as a stand-alone product or dataset;

  • Use the Services to develop, train, benchmark, or improve a competing product, dataset, AI model, or service;

  • Reverse engineer, decompile, disassemble, or attempt to extract source code, model weights, prompts, embeddings, or proprietary data structures, except to the limited extent applicable law expressly permits;

  • Remove, obscure, or alter any proprietary notices, watermarks, branding, citations, or attributions;

  • Bypass quotas, rate limits, security controls, paywalls, or access controls;

  • Use the Services to crawl, scrape, harvest, or systematically extract data beyond authorized API use; or

  • Use the Services in any manner that violates these Terms, the Acceptable Use Policy in Section 13, or applicable law.

10. Your Content & Inputs

You retain ownership of any data, files, drawings, photographs, videos, addresses, dimensions, captures, notes, prompts, or other materials you upload to or generate within the Services ("User Content").

 

You grant InQI a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, copy, transmit, process, display, route to third-party AI and data providers, and create derivative works from your User Content solely as necessary to operate, secure, support, and improve the Services for you, and to perform our obligations under these Terms.

 

You represent and warrant that you have all rights, permissions, and authority necessary to upload your User Content and to grant the rights described above, and that your User Content does not infringe, misappropriate, or violate any third party's rights or any law.

 

InQI may use aggregated, de-identified, and anonymized information derived from User Content and Service usage to operate, secure, monitor, evaluate, benchmark, and improve the Services and to develop new features, models, and products. Aggregated and de-identified data is not your User Content and is owned by InQI.

11. InQI's Intellectual Property & Outputs

11.1 InQI IP

The Services — including all software, AI models, agents, algorithms, user interfaces, databases compiled by InQI, brand names, logos, layered platform architecture, methodologies, and documentation — are owned by InQI or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Patents Pending. Except for the limited license expressly granted in Section 9, no rights are granted to you by implication, estoppel, or otherwise.

11.2 Outputs

Site plans, AI-generated responses, exports (in any current or future format including PDF, DXF, DWG, SVG, IFC, JSON, image, or other), reports, dashboards, and other deliverables produced through your use of the Services ("Outputs") are licensed to you under Section 9 for your internal project use. Outputs may be derived from third-party data sources, public records, licensed imagery, and AI inference. You may not separately resell or redistribute Outputs as raw data, datasets, training material, or stand-alone products.

11.3 Feedback

If you provide InQI with suggestions, ideas, feature requests, or feedback about the Services, you grant InQI a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, and exploit such feedback for any purpose without obligation or attribution to you.

 

 

12. AI, Data & Professional Disclaimer — Independent Verification Required

The Services include AI-assisted tools, agents, and features that generate site plans, code references, cost insights, planting and design recommendations, compliance summaries, and other decision-support outputs. The Services also surface property, parcel, zoning, topography, aerial, environmental, regulatory, and cost data licensed from third-party providers and public records.

 

You acknowledge and agree that:

 

  • The Services are decision-support tools, not professional services. They are intended to assist your judgment, not replace it.

  • AI Outputs may contain errors, omissions, hallucinations, outdated references, mismeasurements, or jurisdictional inaccuracies.

  • Property data — including but not limited to parcel boundaries, ownership, setbacks, FAR, zoning classifications, allowable use, ADU eligibility, easements, flood zones, environmental designations, topography, utility locations, and historical or protected status — is sourced from third-party providers and public records and may be incomplete, dated, mislabeled, or jurisdictionally inaccurate. InQI does not author, certify, survey, or warrant any such data.

  • Code, regulatory, and compliance references are surfaced from third-party datasets and public sources and may not reflect the most current, locally-amended, or AHJ-specific rules. Codes, ordinances, and zoning rules change frequently and vary by jurisdiction; only the Authority Having Jurisdiction (AHJ) can provide a binding determination.

  • Cost insights, estimates, and benchmarks are derived from third-party cost databases and are for budgetary planning only. They are not bids, quotes, or guarantees of actual project cost.

  • Aerial imagery, base maps, and geospatial layers are licensed from third-party providers and may not reflect current site conditions.

  • InQI does not practice architecture, engineering, surveying, landscape architecture, contracting, real estate, law, or any other licensed profession in any jurisdiction. InQI does not stamp, seal, certify, sign, or take professional responsibility for any Output.

  • A licensed professional must exercise human-in-the-loop review and accept professional responsibility for any Output incorporated into a permit submittal, bid, contract, or constructed work.

  • A site survey by a licensed surveyor, a structural and code review by a licensed engineer or architect, and a permit review by the AHJ are required before relying on any Output for design, permitting, bidding, construction, or any decision affecting safety, cost, code compliance, property rights, or third-party rights.

  • You are solely responsible for independently reviewing, verifying, validating, and ground-truthing every Output and every data point before using it.

 

You assume all risk arising from your use of, or reliance on, the Services and any Output.

13. Acceptable Use

You will not, and will not permit any user to:

 

  • Use the Services for any unlawful, infringing, fraudulent, deceptive, or harmful purpose;

  • Misrepresent your identity, affiliation, authority, or rights to any property, project, address, or jurisdiction;

  • Use the Services in connection with property, projects, or activities you do not have a legitimate interest in;

  • Upload malware, exploits, or content that compromises the integrity, security, or performance of the Services or other users' content;

  • Crawl, scrape, harvest, or extract data from the Services by automated means beyond authorized API use, or attempt to circumvent rate limits, paywalls, or access controls;

  • Use the Services to harass, defame, stalk, threaten, or violate the privacy or publicity rights of any person;

  • Submit data subject to elevated regulatory regimes (including HIPAA-protected health information, PCI cardholder data, FERPA-protected student records, classified or export-controlled information, or biometric identifiers) unless expressly authorized in writing by InQI;

  • Use the Services in any manner that violates U.S. or foreign export-control, sanctions, or anti-corruption laws; or

  • Use the Services to develop, train, or benchmark a competing AI model, dataset, or product.

 

We may investigate suspected violations and cooperate with law enforcement and regulatory authorities.

 

 

14. Suspension & Termination by InQI

InQI may suspend, restrict, or terminate your account or any portion of the Services, with or without notice, for:

 

  • Violation of these Terms or the Acceptable Use Policy in Section 13;

  • Non-payment, expired payment methods, failed charges, or chargebacks;

  • Abuse, misuse, or excessive consumption of the Services;

  • Suspected fraud, security risk, or illegal activity;

  • A legal, regulatory, licensor, or vendor requirement; or

  • Discontinuation of a feature, dataset, integration, or Plan.

 

Termination does not entitle you to any refund of Subscription fees or Project Activation fees. Upon termination, your right to access the Services and use any Output will cease, except that licenses to Outputs already lawfully exported and paid for will survive in accordance with Section 11.

15. Service Availability & Force Majeure

InQI strives to maintain high availability but does not guarantee uninterrupted, error-free, or uniformly performant service. The Services depend on third-party infrastructure (cloud, mapping, imagery, data, AI providers) that may experience outages, latency, deprecations, or vendor-side changes. Scheduled maintenance, force majeure events (including natural disasters, war, civil unrest, government action, cyber-attacks, internet or utility failures, and pandemic events), and outages outside our reasonable control do not entitle you to refunds, credits, service-level remedies, or termination rights, except as expressly stated in a separately negotiated Service Level Agreement signed by an authorized officer of InQI.

16. Data Access After Cancellation, Expiration, or Termination

Upon cancellation, expiration, or termination of your Subscription or account:

 

  • Access to recurring features will end at the end of the current paid term (for self-cancellation) or immediately (for InQI-initiated termination for cause);

  • For at least 30 days after the end of access, you may request a one-time export of your User Content via support@inqi.ai;

  • After the 30-day window, InQI may archive, anonymize, aggregate, or delete User Content and project data in accordance with our data retention schedule and the InQI Privacy Policy;

  • InQI is not responsible for preserving, recovering, or reconstructing data beyond these reasonable access periods.

 

Outputs already exported and paid for prior to termination remain licensed to you under Section 11.

 

17. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, OUTPUTS, AND ANY RELATED CONTENT, DATA, AND DELIVERABLES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. INQI EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:

 

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;

  • WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, COMPLETE, OR ERROR-FREE;

  • WARRANTIES THAT AI OUTPUTS, MEASUREMENTS, IMAGERY, PARCEL DATA, ZONING REFERENCES, COST INSIGHTS, OR REGULATORY REFERENCES WILL BE ACCURATE, CURRENT, COMPLETE, OR JURISDICTIONALLY APPLICABLE;

  • WARRANTIES THAT THE SERVICES WILL MEET YOUR PROFESSIONAL, CODE-COMPLIANCE, PERMITTING, ENTITLEMENT, BIDDING, OR CONSTRUCTION REQUIREMENTS; AND

  • WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

 

NO ADVICE OR INFORMATION OBTAINED FROM INQI, WHETHER ORAL OR WRITTEN, CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

 

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

 

(a) Excluded Damages. IN NO EVENT WILL INQI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, COST OF SUBSTITUTE SERVICES, CONSTRUCTION DELAYS, RE-DESIGN COSTS, PERMIT DENIALS, AHJ FEES, ENTITLEMENT LOSSES, OR PROJECT OVERRUNS, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF INQI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

(b) Liability Cap. INQI'S TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU ACTUALLY PAID TO INQI IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS ($100.00).

 

(c) Essential Basis. YOU ACKNOWLEDGE THAT THESE LIMITATIONS ARE AN ESSENTIAL ELEMENT OF THE BARGAIN, AND THAT THE PRICING OF THE SERVICES REFLECTS THIS ALLOCATION OF RISK. INQI WOULD NOT PROVIDE THE SERVICES WITHOUT THESE LIMITATIONS.

 

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

19. Indemnification

You will defend, indemnify, and hold harmless InQI and its affiliates, officers, directors, employees, agents, and licensors from and against any third-party claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

 

  • Your User Content, including any claim that your User Content infringes, misappropriates, or violates a third party's rights or any law;

  • Your use of, or reliance on, the Services or any Output, including reliance on AI Outputs without independent professional verification;

  • Your breach of these Terms or violation of any law or third-party right; and

  • Any project, design, drawing, permit application, bid, contract, construction, demolition, alteration, or decision you make using the Services.

20. Changes to These Terms

InQI may update these Terms from time to time. The "Last Updated" date at the top reflects the most recent revision. We will notify you of material changes by email, in-product notice, or by posting a prominent notice on www.inqi.ai. Continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, your sole remedy is to cancel your Subscription before the change takes effect (subject to Sections 5, 7, and 8).

21. Governing Law, Venue & Dispute Resolution

21.1 Governing Law

These Terms are governed by the laws of the State of California, USA, excluding its conflict-of-laws rules. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

21.2 Informal Resolution

Before filing any claim, you agree to first contact support@inqi.ai with a written description of the dispute and to attempt in good faith to resolve the dispute informally for at least 30 days.

21.3 Binding Arbitration & Class Waiver

Any dispute, claim, or controversy that is not resolved informally will be finally settled by binding individual arbitration administered by JAMS in Santa Clara County, California, under its applicable rules in effect at the time the arbitration is initiated, except that either party may bring a small-claims action or seek injunctive relief in court for intellectual property infringement, theft of trade secrets, or breach of confidentiality. YOU AND INQI EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

21.4 30-Day Opt-Out

You may opt out of Section 21.3 by emailing support@inqi.ai within 30 days of first accepting these Terms with the subject line "Arbitration Opt-Out" and your account email. Opting out of arbitration does not waive the class-action waiver or any other provision of these Terms.

21.5 Time Limit

Any claim arising from or related to these Terms or the Services must be brought within one (1) year after the cause of action arises, or it is permanently barred, to the extent permitted by law.

22. Miscellaneous

  • Entire Agreement. These Terms, together with the InQI Privacy Policy, the Pricing Page, and any order form, plan-specific terms, or addendum signed by an authorized officer of InQI, constitute the entire agreement between you and InQI regarding the Services and supersede all prior agreements.

  • Order of Precedence. In the event of conflict, a signed order form controls over these Terms; these Terms control over the Pricing Page (except as to commercial terms, where the Pricing Page in effect at the time of purchase controls); and these Terms control over any in-product description.

  • Severability. If any provision is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be reformed to the minimum extent necessary to make it enforceable.

  • No Waiver. InQI's failure to enforce any provision is not a waiver of its right to do so later.

  • Assignment. You may not assign these Terms or your account without our prior written consent. InQI may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets.

  • Notices. Notices to InQI must be sent to support@inqi.ai. Notices to you may be sent to the email address on your account or posted in-product, and will be deemed delivered when sent or posted.

  • Independent Contractors. The parties are independent contractors. These Terms do not create any agency, partnership, joint venture, employment, or fiduciary relationship.

  • Survival. Sections that by their nature should survive termination — including 5, 7, 9, 10, 11, 12, 13, 17, 18, 19, 21, and 22 — will survive any termination or expiration of these Terms.

  • Headings. Headings are for convenience only and do not affect interpretation.

24. Acceptance — Express Affirmative Consent

By clicking "I Agree," creating an account, starting a Subscription, activating a project, or otherwise using the Services, you acknowledge that:

 

  1. You have read and understood these Terms in full and the InQI Privacy Policy.

  2. You expressly consent to automatic renewal of your Subscription at the then-current rate posted on the Pricing Page until you cancel as described in Section 8.

  3. You expressly agree that all Project Activations are final sale and non-refundable under Section 5, and you waive any cooling-off or right-of-rescission period to the maximum extent permitted by law.

  4. You acknowledge the AI, Data, and Professional Disclaimer in Section 12 and agree that all Outputs require independent professional verification before use.

  5. You agree to the limitation of liability and arbitration provisions in Sections 18 and 21, including the class-action waiver.
